General Terms and Conditions (GTC)

1. Subject and Scope

These General Terms and Conditions (hereinafter "GTC") govern the access to and use of the Swiss Bike Finder platform, operated by the company ADG Sigma Solutions Sàrl, Ch. de la Cossette 18, 1732 Arconciel (hereinafter "the Provider"). These GTC apply to:

• The User: Any natural or legal person looking for a bicycle via the platform.

• The Partner: Any bicycle dealer or professional registered in Switzerland responding to requests for offers.

The use of the website and its services implies the full and unreserved acceptance of these GTC by both the User and the Partner.

2. Description of the Service

Swiss Bike Finder is a matching and referral service.

• For the User: The service allows for the free submission of a specific bicycle search request. The Provider forwards this request to its network of Partners and provides the User with the corresponding offers.

• For the Partner: The service allows for the receipt of qualified leads and the submission of offers to potential customers.

3. Financial Terms and Payment

• Free for the User: The service is entirely free of charge and carries no obligation to purchase for the User.

• Provider's Remuneration: In exchange for the referral, the Partner agrees to pay the Provider a commission equivalent to 5% of the total sales amount (including the bicycle and equipment).

• Billing Details: Commissions are quoted in Swiss Francs (CHF) excluding VAT. VAT will be added at the current applicable rate.

4. Obligations of the Parties

4.1. Common Obligations: Both the User and the Partner agree to provide accurate, complete, and up-to-date information (contact details, technical specifications, prices).

4.2. Specific Obligations of the Partner: To inform the Provider as soon as a sale is concluded with a User introduced via the platform; to pay the commission due within 30 days of the invoice date; to guarantee the compliance of the products sold in accordance with Swiss consumer law.

4.3. Obligations of the User: To inform the Provider upon conclusion of a purchase from an introduced Partner, in order to allow the closure of the file.

5. Limitation of Liability

The Provider acts solely as a technical intermediary. Consequently:

• Sales Contract: The sales contract is concluded exclusively between the User and the Partner. The Provider is not a party to this contract.

• Warranty and After-Sales Service: The Provider disclaims all liability regarding the quality, safety, compliance, or hidden defects of the products purchased. Any claims must be addressed directly to the Partner (dealer).

• Availability: The Provider cannot guarantee uninterrupted availability of the platform or a minimum number of offers for any given request.

6. Data Protection

The processing of personal data is governed by our Privacy Policy. The Provider and the Partner each act as independent data controllers for the data they collect. The Partner agrees to comply with the Federal Act on Data Protection (FADP) for any processing of contact details transmitted by the Provider.

7. Governing Law and Jurisdiction

These GTC are governed by Swiss law. Any dispute relating to the interpretation or execution of these terms, which cannot be resolved amicably, shall be subject to the exclusive jurisdiction of the courts at the registered office of ADG Sigma Solutions Sàrl in Fribourg, subject to any mandatory legal venues.
